Please read these Terms of Use carefully. By accessing the Platform, creating an account or submitting information through it, you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
- Easy Lease Group, we, us or our: Easy Lease Motorcycle Rental P.J.S.C. and its subsidiaries, acting through the Group Procurement Department.
- Platform: the Easy Lease Procurement Platform at supplier.easylease.ae, including all its pages, features and content.
- Supplier: a company or other legal entity that registers on the Platform, or on whose behalf a guest submission is made.
- User: any individual who uses the Platform, including Vendor Admins, Vendor Users, guest submitters and visitors.
- Vendor Admin: the User who manages a Supplier's account, company profile, bank details and company users.
- Vendor User: a User invited by a Vendor Admin to view tenders and prepare submissions for the Supplier.
- Tender: any request for information, quotation, proposal or expression of interest published on the Platform.
- Tender Documents: the documents, requirements, clarifications and addenda issued for a Tender.
- Submission: any response, bid, quotation, proposal, document or information submitted for a Tender.
2. Eligibility and authority
2.1 The Platform is for businesses. You must be at least 18 years old and authorised to act for the Supplier you represent.
2.2 By registering or making a Submission, you confirm that you have authority to bind the Supplier to these Terms and to any declarations made through the Platform. The Supplier is responsible for all actions taken by its Users.
3. Registration and accounts
3.1 To register, a Supplier must complete the registration process, provide the required information and documents for its country of registration, and accept the declarations shown.
3.2 You must provide information that is true, accurate, complete and current, and keep it up to date. Documents uploaded must be genuine, valid and unaltered.
3.3 Registration and approval are at our discretion. We may request more information, verify any information with third parties, and approve, reject, suspend or blacklist a Supplier in accordance with section 11.
3.4 Approval as a vendor does not guarantee that a Supplier will be invited to any Tender or awarded any contract.
3.5 Registration on the Platform is free of charge. Easy Lease Group never asks Suppliers for payment to register, to be approved, or to receive Tender Documents. Report any such request to [email protected].
4. Account security
4.1 Each User must have their own account. Accounts, passwords and authentication devices must not be shared.
4.2 Multi-factor authentication is mandatory. You are responsible for keeping your password and authentication method secure.
4.3 The Vendor Admin is responsible for adding and removing the Supplier's Users promptly, including when a person leaves the Supplier.
4.4 You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
4.5 Activities carried out through a User's account are treated as carried out by that User on behalf of the Supplier.
5. Changes to company information
5.1 Suppliers must keep their company profile, contacts, categories and documents current, and renew expiring documents before they expire.
5.2 Changes to the legal name, registration number, tax number, bank details or authorised signatory are reviewed by Group Procurement before they take effect. Until approved, the previous details remain in use.
5.3 If a required document expires, the Supplier may be unable to submit to Tenders until the renewed document is verified.
6. Tenders
6.1 Each Tender is governed by its Tender Documents. If the Tender Documents conflict with these Terms, the Tender Documents prevail for that Tender.
6.2 We decide the visibility of each Tender, who may submit, the submission format and all other Tender conditions.
6.3 We may, at any time and without liability:
- issue clarifications and addenda, including changes to requirements or deadlines;
- extend a submission deadline;
- cancel or suspend a Tender, in whole or in part;
- reject any or all Submissions, and not award any contract;
- award a Tender, or any lot, to one or more Suppliers;
- negotiate with one or more Suppliers where the Tender Documents allow.
6.4 Suppliers are responsible for checking the Platform for clarifications and addenda. Where an addendum is issued, you must acknowledge it before you can submit.
6.5 Publication of a Tender is an invitation to submit offers, not an offer by Easy Lease Group. No contract is formed until a written award or contract is issued and, where required, signed by an authorised representative of the relevant Easy Lease Group company.
6.6 Each Supplier bears its own costs of registering, preparing and submitting Submissions, and of attending any meetings or presentations, whatever the outcome of the Tender.
7. Submissions
7.1 Submissions must be made through the Platform, in the format required by the Tender Documents. Submissions sent by other means will not be accepted unless the Tender Documents say otherwise.
7.2 The Platform's server time decides whether a Submission is on time. Deadlines are shown with their time zone. Late Submissions cannot be made.
7.3 We strongly recommend submitting well before the deadline. We are not responsible for Submissions that are not completed before the deadline because of internet connection problems, large file uploads, device issues or other causes outside our control.
7.4 You may revise or withdraw a Submission until the deadline. Only the latest Submission received before the deadline will be considered.
7.5 A receipt with a reference number is issued for each Submission. Please keep it.
7.6 Submissions are sealed until the Tender closes and are opened only after the deadline by authorised Easy Lease Group staff.
7.7 Each Submission must remain valid for the bid validity period stated in the Tender Documents.
7.8 By making a Submission, the Supplier confirms that it is accurate and complete, and that it was prepared independently without collusion with other bidders.
7.9 Guest submissions. Where a Tender allows submissions without an account, the guest must verify their email address. The guest submitter is responsible for the security of the email account used and of the private link sent to it for managing the Submission.
8. Confidentiality
8.1 Tender Documents and any other non-public information obtained through the Platform are confidential. You may use them only to prepare a Submission and may share them only with employees and advisers who need to know them for that purpose and are bound by confidentiality.
8.2 Where a Tender requires acceptance of a non-disclosure agreement (NDA) before downloading Tender Documents, the NDA applies in addition to this section.
8.3 We treat Submissions as confidential. We use them for evaluating the Tender, awarding contracts, audit, compliance and legal purposes, and share them only with those who need them for these purposes.
9. Intellectual property
9.1 The Platform, its design, software, text and the Easy Lease Group names and logos are owned by or licensed to Easy Lease Group. You may not copy, modify or use them except as needed to use the Platform.
9.2 Tender Documents remain the property of Easy Lease Group.
9.3 Suppliers keep ownership of their Submissions. Each Supplier grants Easy Lease Group a non-exclusive, royalty-free licence to use, copy and store its Submissions for evaluation, award, contract management, audit, compliance and legal purposes.
9.4 You confirm that your Submissions do not infringe any third party's rights.
10. Acceptable use
You must not:
- provide false, misleading or forged information or documents;
- impersonate any person or company, or register more than one account for the same Supplier without our approval;
- access or attempt to access data, accounts or Tenders you are not authorised to see, including by changing web addresses or request parameters;
- probe, scan or test the security of the Platform, or attempt to bypass its security, authentication, rate limits or bot protection;
- upload viruses, malware or files designed to cause harm;
- use automated tools to scrape, harvest, copy or monitor the Platform or its content;
- interfere with the operation of the Platform or overload it;
- contact Easy Lease Group evaluators or staff to influence a Tender outside the official clarification process;
- collude with other Suppliers or offer any improper benefit to anyone connected with Easy Lease Group;
- use the Platform for any unlawful purpose.
If you discover a security vulnerability, report it to [email protected] and do not exploit or disclose it.
11. Suspension, blacklisting and termination
11.1 We may suspend or restrict access to the Platform, reject or disqualify a Submission, or suspend, blacklist or remove a Supplier, if we reasonably believe that:
- the Supplier or its Users have breached these Terms or the Tender Documents;
- information or documents provided are false, misleading, expired or forged;
- the Supplier has been involved in bribery, fraud, collusion, sanctions breaches or other serious misconduct;
- the Supplier's performance on an Easy Lease Group contract has been seriously unsatisfactory; or
- it is necessary to protect the security of the Platform or comply with law.
11.2 A rejected Supplier may re-apply after the waiting period shown on the Platform.
11.3 A Supplier may ask to close its account at any time by emailing [email protected]. Closing an account does not end obligations already incurred, including confidentiality and obligations under any Submission still valid or contract awarded.
11.4 Records relating to the Supplier are retained as described in the Privacy Policy.
12. Availability
12.1 We aim to keep the Platform available at all times but do not guarantee uninterrupted or error-free access. We may carry out maintenance, and we will try to give notice of planned maintenance on the Platform.
12.2 If a significant Platform outage affects Suppliers' ability to submit shortly before a deadline, we may, at our discretion, extend the deadline by addendum.
13. Disclaimer and limitation of liability
13.1 The Platform is provided "as is" and "as available". To the extent permitted by law, we exclude all warranties not expressly stated in these Terms.
13.2 To the extent permitted by law, Easy Lease Group is not liable for any indirect or consequential loss, loss of profit, loss of business or opportunity, or bid preparation costs arising from use of, or inability to use, the Platform, or from any decision to amend, cancel or award a Tender.
13.3 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
14. Indemnity
The Supplier will indemnify Easy Lease Group against losses, claims and costs arising from the Supplier's or its Users' breach of these Terms, false or misleading information, or infringement of third-party rights.
15. Personal data
We process personal data as described in our Privacy Policy. Suppliers must ensure they are allowed to share any personal data they provide about their staff or other people.
16. Electronic communications
You agree that we may communicate with you electronically, through the Platform and by email to the addresses registered on your account. Notices, receipts, award and regret letters sent this way are valid written notices. Easy Lease Group procurement emails are sent only from easylease.ae addresses.
17. Changes to these Terms
We may update these Terms from time to time. Updated Terms take effect when published on the Platform. Where changes are material, we will notify registered Users and may ask you to accept the new Terms before continuing to use the Platform. Submissions already made remain subject to the Terms in force when they were made, unless the Tender Documents say otherwise.
18. General
18.1 If any part of these Terms is found invalid, the rest remains in effect.
18.2 Our failure to enforce any right is not a waiver of that right.
18.3 These Terms, the Privacy Policy and the Tender Documents are the entire agreement between you and us about use of the Platform.
18.4 These Terms are written in English.
19. Governing law and jurisdiction
These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction over any dispute arising from them, unless the Tender Documents or a contract provide otherwise, and without prejudice to any mandatory laws of the Supplier's country.
